By accessing or using Yeer's supply chain AI platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
Yeer provides AI-powered supply chain management solutions, including but not limited to:
Yeer.ai is available as a Shopify app. By installing the app, you authorize Yeer.ai to access your Shopify store data as described in our Privacy Policy. The app operates within Shopify's platform and is subject to both these Terms and Shopify's terms of service.
Subscription fees for the Shopify app are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge your account. Refunds, billing disputes, and payment terms are subject to Shopify's billing policies in addition to our own.
The app requests access to specific store data (products, orders, inventory) to provide its services. You can revoke access at any time by uninstalling the app from your Shopify admin. Upon uninstallation, we will delete your store data within 48 hours.
Yeer.ai provides AI-powered recommendations for pricing, reordering, and inventory management. In "Suggest Changes" mode (default), no changes are made to your Shopify store without your explicit approval. In "Handle It" mode, changes are applied automatically within the Safety Limits you configure. You can undo any automated change from the Activity panel. You remain fully responsible for all changes applied to your store, whether approved manually or applied automatically.
You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization. By using our Services, you represent and warrant that you meet these eligibility requirements.
You must create an account to use our Services. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

You retain all ownership rights to your business data, supply chain information, and any content you upload to our platform. We claim no ownership over your data.
You grant us a limited license to use your data solely to provide, maintain, and improve our Services to you. We will not use your data to train our AI models or share it with third parties except as described in our Privacy Policy.
You are responsible for the accuracy, quality, and legality of your data and the means by which you acquired it. You represent that you have all necessary rights to provide your data to us.
Access to our Services requires payment of subscription fees as outlined in your selected pricing plan. Fees are billed in advance on a monthly or annual basis.
Fees are exclusive of taxes. You are responsible for all applicable taxes (sales, use, VAT, etc.) except for taxes based on our income.

Important Notice: Our AI agents provide recommendations and insights based on data analysis. These recommendations are advisory in nature and should not be considered definitive business decisions.
All intellectual property rights in our Services, including our AI models, algorithms, software, designs, and documentation, are owned by Yeer. These Terms do not grant you any ownership rights to our intellectual property.
Our trademarks, logos, and brand elements may not be used without our prior written consent.
Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for purposes of fulfilling obligations under these Terms. This obligation survives termination of these Terms for a period of three (3) years.
We warrant that our Services will perform materially in accordance with our documentation under normal use.
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

You agree to indemnify and hold harmless Yeer from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your violation of these Terms, (b) your misuse of our Services, (c) your violation of any third-party rights, or (d) your data or content.
You may terminate your account at any time through your account settings or by contacting support. Termination is effective at the end of your current billing period.
We may suspend or terminate your access to our Services if you violate these Terms or engage in fraudulent, abusive, or illegal activities.
Upon termination, your right to use our Services ceases immediately. We will provide you with access to export your data for 30 days following termination, after which your data may be deleted.
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the American Arbitration Association's Commercial Arbitration Rules.
You agree to waive your right to a jury trial and to participate in class action lawsuits.
We may modify these Terms from time to time. We will provide notice of material changes via email or through our platform. Your continued use of our Services after changes constitutes acceptance of the modified Terms.
